This Agreement is entered into by Weikang Probiotics (Suzhou) Co., Ltd. (hereinafter referred to as “Weikang Probiotics” or “we”) and the user (hereinafter referred to as “you”) with respect to matters related to your use of the services provided through our official website, wecare-bio.com.

Please read this Agreement carefully and ensure that you fully understand its entire contents, and then choose whether to accept or reject it. Any provisions that limit liability or disclaim responsibility will be highlighted in bold to draw your attention. Your actual use of the services shall be deemed as your acceptance of this Agreement and your agreement to be bound by its terms.

I. Scope and Nature of Services

II. User Obligations and Code of Conduct

2.1 Service Support

III. Your Rights and Obligations

• Endangering national security, divulging state secrets, subverting state power, and undermining national unity.

• Spreading rumors, disrupting social order, and undermining social stability.

• Insulting or defaming others, or infringing upon their lawful rights and interests.
• Containing other content prohibited by laws and administrative regulations.

3.6 When using the services on the Weikang Probiotics Platform, you must uphold internet order and security, refrain from infringing upon the legitimate rights and interests of any entity, and shall not engage in, or facilitate, any of the following acts, among others:

• Engaging in fraudulent, deceptive, or misleading conduct, or infringing upon others’ intellectual property rights and other legitimate rights and interests, such as operating unauthorized private servers or using unauthorized game mods.
• Publishing or disseminating spam, or content that contains information violating laws and regulations, such as information that endangers national order and security, promotes feudal superstition, or is obscene, pornographic, or vulgar.
• Violating the operating rules governing networks, devices, or services connected to the Weikang Probiotics Network; engaging in unlawful or unauthorized access, theft, interference, or monitoring.
• Any act that undermines or attempts to undermine network security is prohibited, including, but not limited to, malicious scanning of servers, unauthorized system intrusion, and unlawful data acquisition conducted through viruses, trojans, malware, phishing, or other similar means.

3.11 You shall be responsible for the source and content of your users’ business data, and Weikang Probiotics advises you to exercise due diligence in assessing the legality of such sources and content. You shall bear all consequences and liabilities arising from any violation of laws, regulations, departmental rules, or national policies by the content of your users’ business data.

3.12 You understand and agree that state secrets of the People’s Republic of China are protected by law, and you have an obligation to safeguard such state secrets; your use of the Weikang Probiotics official website services shall comply with applicable confidentiality laws and regulations, and you shall not jeopardize the security of state secrets of the People’s Republic of China.

3.13 You undertake to comply with the export control and sanctions laws and regulations of the People’s Republic of China, as well as with any other applicable export control and sanctions laws and regulations under this Contract. You further undertake not to use the products or services provided by Weikang Probiotics for any purposes prohibited under the applicable export control and sanctions laws and regulations. Unless authorized by the relevant competent authorities, you and any other individuals or entities authorized by you to use the products or services available on the Weikang Probiotics official website shall not supply controlled products, technologies, software, or services to any destinations, entities, or individuals that are prohibited under the applicable export control and sanctions laws and regulations.

IV. Rights and Obligations of Weikang Probiotics

V. Limitation of Liability

• Network equipment has malfunctioned and is unable to transmit data.
• Force majeure refers to objective circumstances that neither party could have foreseen and whose occurrence and consequences are insurmountable and unavoidable, including but not limited to the following: (1) natural disasters such as floods, hailstorms, tsunamis, typhoons, droughts, and fires; (2) social factors such as strikes, riots, wars, and the inability to perform due to applicable policies, laws, or regulations; as well as public service-related factors such as power supply failures, communication network outages, or technical adjustments or malfunctions by telecommunications authorities.
• Weikang Probiotics’ official website services have been subjected to hacker attacks and virus infections.
• Your own software and hardware devices are malfunctioning.
• System maintenance conducted within a short timeframe upon prior announcement or notification (including, but not limited to, troubleshooting, system upgrades, system capacity expansion, and server migration).
• Information System Failures at Banks and Third-Party Payment Institutions

5.2 In the event of force majeure, accidental events, or other occurrences beyond the reasonable control of the parties that result in delayed performance under this Agreement or in a breach by either party, neither party shall be liable for such breach. However, the affected party shall notify the other party as promptly as practicable. If such events impede the performance of this Agreement for a period exceeding thirty (30) days, either party may terminate this Agreement by providing the other party with fifteen (15) days’ written notice. In the event of termination pursuant to this provision, neither party shall be liable for any breach. 。

5.3 You acknowledge and agree that Weikang Probiotics’ services are provided on an “as is” basis, in accordance with the then-current state of technology and available conditions. Weikang Probiotics will make every reasonable effort to ensure the continuity and security of its services; however, it cannot guarantee that such services will be entirely free of defects. Accordingly, even if defects do exist in the services provided by Weikang Probiotics, if such defects were unavoidable given the industry’s technological level at the time, they shall not be deemed a breach of contract by Weikang Probiotics, nor shall Weikang Probiotics bear any liability. The parties shall cooperate in good faith to jointly resolve any issues that may arise. 。

5.4 You acknowledge and agree that you shall be liable for any third-party claims arising out of your violation of these Terms of Service or any actions taken under your account. If such claims result in MicroHealth Probiotics and its affiliates, employees, customers, and partners being subject to third-party claims, you shall be responsible for handling such claims and for indemnifying MicroHealth Probiotics and its affiliates for all losses and liabilities incurred as a result.

5.5. To the fullest extent permitted by applicable law, Weikang Probiotics shall not be liable for any indirect, punitive, special, or consequential damages arising out of or in connection with these Terms of Service.

5.6. If, during your use of the Weikang Probiotics official website services, you engage in activities that violate laws and regulations, jeopardize network security, or infringe upon the reputation, privacy, intellectual property rights, or other legitimate rights and interests of others, you shall bear all liability for any such unlawful or breach-of-contract conduct arising from your use of the Weikang Probiotics official website services.

The aforementioned information shall be deemed delivered under the following circumstances:

VII. Applicable Law and Jurisdiction

7.1 The formation, effectiveness, performance, interpretation, and dispute resolution of this Agreement shall be governed by the laws and regulations of the People’s Republic of China (with respect solely to this Service Agreement, Not applicable to the laws of the Hong Kong Special Administrative Region, the Macao Special Administrative Region, and the Taiwan region. , Not Subject to the Conflict of Laws of the People’s Republic of China ).

7.2 Any disputes arising under this Agreement shall first be resolved through consultation between the parties; if the parties fail to resolve such disputes through consultation, they shall submit the dispute to the People’s Court in the jurisdiction where Weikang Probiotics Co., Ltd. is located for adjudication. The parties shall continue to perform those provisions of this Agreement that are not in dispute. 。

VIII. Other

8.1 Unless otherwise specified, all references to “days” in the main body of this Agreement and its annexes shall mean calendar days, and the settlement currency shall be Renminbi.

8.2 The drafting and interpretation of this Agreement shall be governed by the Chinese language. Unless otherwise agreed by the parties, any translation of this Agreement shall not be used as a basis for interpreting this Agreement or for determining the intentions of the parties.

8.3 The rules and standards, service descriptions, service terms, operational documentation, and any other terms and conditions you have clicked to accept as displayed on the relevant pages constitute an integral part of this Agreement and carry the same legal force as the main text of this Agreement; you shall comply with them. 。

8.4 Weikang Probiotics reserves the right to amend these Terms of Service and the corresponding service rules, and will announce or notify such changes via website announcements, email, in-app messages, SMS, or other appropriate means. If you continue to use the Service after such amendments take effect, you will be deemed to have fully read, understood, and accepted the revised terms, and you shall comply with the amended provisions.

8.5 These Terms of Service shall terminate upon the cancellation of your account or upon mutual agreement between the parties to terminate the services.

If you are dissatisfied with our response, particularly if our handling of your personal information has infringed upon your legitimate rights and interests, you may also file a complaint or report with the relevant regulatory authorities, including the Cyberspace Administration, the telecommunications regulator, the public security organs, and the administration for industry and commerce.
